Board Meeting – May 15, 2024, 9:00 am – Creative Art Center Our Mission is to develop, promote, and encourage an interest in the arts. Board Members present: Kristi Kuder, Ann Smith, Judi Celaschi, Sue Kalseim, Shari Prigge, David Beddow. Debbie Ness, ex-officio staff was also present. Minutes: Ann moved to approve the special board meeting minutes from May 6. David seconded; the motion passed. The April 9th board meeting minutes were reviewed. Ann made a motion to approve the minutes. Sue seconded; the motion passed.
Financial Report: Ann S and Debbie presented the year-to-date financials to the Board. A separate financial meeting will be scheduled soon to focus on the increase in expenses. David moved to approve the financial report. Judi seconded; the motion passed. Administrative Report: The gallery has been cleaned and reorganized making more space. Debbie is researching options to bring more light into the back of the Gallery. Other items include: Luciana, our student staff member has requested additional hours. Under consideration is adding a hot/cold water cooler for the Gallery and/or CAC. Galloping Goose has approached AOTL requesting space to sell their merchandise. David made a motion to allow Debbie to negotiate with them. Ann seconded; motion passed. Old Business Revisions to the Art of the Lakes by-laws were sent on May 8th as an attachment to the annual membership meeting invitation. The revised by-laws will be voted on at the May 22 membership meeting. The annual member meeting is scheduled for May 22, 5:30 pm. The Board should be there at 4:30 to set up and be prepared to showcase the CAC as members arrive. Kristi will send out an event reminder requesting an RSVP. The agenda will include a year-to-date overview of the financial and programming events and the go-forward plans for the organization and Creative Art Center. Committee chairs will provide updates: Events: Studio Tour, PLPA, Arts & Crafts, Phelps Mills, Hearts on Main -- Judi Gallery -- Sue Programming – Shari Marketing – Shanna Fundraising – Ann S Membership – Donna Building – Stephen Henning CAC - Kristi A vote will be conducted to have Sheryl Olson and Vanessa Sellner join the AOTL Board. Fundraiser update: Designer Purse Bingo was a success, with an estimated profit of over $8000 which will be used to support the summer youth program. The Board expressed gratitude and thanks to Sue for leading this project, and to the Ottertail Lions for their guidance and financial support. New Business The Leadership Retreat will be led by Ann Hermes and Naomi Schliesman on May 23. The program content will focus on how, as a nonprofit organization, the Art of the Lakes needs to operate within specific policies and procedures. Creative Art Center (CAC): AOTL/CAC Membership structure and the CAC hours and staffing were confirmed during the May 6 special board meeting. Committee Updates: LACC Ninja Anywhere Event - May 25, 2024. Volunteers are requested. Next Board Meeting - June 19, 2024, at 9:00 am. David made a motion to adjourn.
